Context and Environment
A newly established production subsidiary with exploration/appraisal/development phases in operated assets. The projects are predominantly in LAPA (Production, Projects, and Appraisal Drilling) and CM 541 (exploration drilling with potential to progress to appraisal drilling).

The designated individual will work in a multidisciplinary contract environment (exploration, drilling, development, offshore and onshore work) in an international setting and a strong local content environment, all at once. The lack or late delivery of materials or services, regardless of their value, can have significant production and financial consequences.

Job description

Supervision of Contract Establishment and Management

  • Supervise the establishment of FEED, EPCSS, EPCI, EPFS, LOF, L&O, and other smaller contracts, directly participating in the more complex contracts.
  • Validate or ensure the validation of all contractual documents and formal letters issued by the contracts.
  • Define the contracting strategy together with the "Duet" counterpart to serve and protect the best commercial interests of the Company.
  • Propose, pre-qualify, and recommend suitable contractors/suppliers for bidding lists, maximizing the efficiency of bidding processes.
  • Compile, issue, and manage "Invitation to Tender" packages to obtain the most realistic and commercially attractive proposals from potential contractors/suppliers. (This includes reviewing and compiling the technical part of the ITT package based on information received from the Technical team and providing commercially relevant advice).
  • Develop appropriate contractual and commercial terms and conditions to serve and protect the interests of the Company.
  • Review proposals, participate in clarifications and contract and commercial negotiations, prepare all associated documents, such as presentations, meeting minutes, contract and commercial qualification records, draft Recommendations for Award, finalization of the Contract, contract award administration, change orders/modifications, contract amendments, claims, and all associated correspondence.
  • Review and consider legal aspects related to the award and administration of contracts, in coordination with the Legal Department, providing advice to clients as appropriate and assisting as needed in resolving litigation.
  • File contractual documentation and correspondence in a logical, organized, and auditable manner.
  • Ensure that all required contractual certificates, guarantees, bonds, and insurances are in place on time under the contract portfolio.
  • Prepare various contractual certificates (e.g., Milestone Certificates, Provisional Acceptance Certificate, Final Acceptance Certificate) to be issued by the Company to the Contractor as per the contract.
  • Review Change Order Requests, draft Change Order Instructions, negotiate and manage change orders initiated by the Company or Contractor, and contract amendments.
  • Participate in weekly meetings with suppliers/contractors, providing general assistance and advice on contractual and procurement matters as necessary to support project activities.
  • Provide input on potential and actual cost changes throughout the project.
  • Perform contractual activities using tools such as SAP, e-Sourcing, Agora, etc.
  • Foster a culture of continuous improvement, ensuring the sharing of lessons learned and best practices.
  • Conduct all procurement activities in compliance with the Company’s policies and procedures and Brazilian legislation.
  • Facilitate any necessary meetings to carry out job activities.

Compliance Management

  • Ensure compliance with the Company’s Contracting and Procurement Policies and applicable laws and regulations, especially concerning ethics and transparency.
  • Ensure that procurement documents and procedures comply with the Company’s standards and agreements with partners.
  • Ensure the application and adherence to the procedures in the tender process.
  • Ensure compliance with the General Terms and Conditions of TEPBR for the purchase of equipment, particularly for complex, high-value, and high-risk equipment.

H3SE Rules

  • The designated person must carry out activities in accordance with the HSE Management System, aligned with One Maestro Principles, focused on protecting the integrity of people, the environment, assets, and the Company's reputation.
  • Serve as a personal example in adhering to the Company’s HSE procedures.
  • Raise awareness and provide guidance to employees under their supervision regarding the execution of HSE rules, both for Company personnel and suppliers, without prejudice to the Contractor’s legal obligations.
  • Ensure workplace safety to prevent danger to people, facilities, and environmental impact for those under their supervision.
  • Maintain personal protective means and emergency safety procedures.
  • Conduct regular inspections and report any incidents (anomalies, unsafe acts, near misses, damages, spills, injuries, etc.).
  • Notify relevant personnel about accidents, incidents, and near misses, initiating corrective actions.

Job requirements

  • C&P Competencies:
  • Advanced Technical Competencies in Contracts and Purchasing are required. Basic or intermediate knowledge in other technical competencies.
  • Qualification and Experience:
  • Typically, a university degree in Law, Engineering, or a relevant business area, ideally with a postgraduate qualification in a complementary area.
  • Proficiency in English.
  • Portuguese is a plus. Ideally, a professional qualification (or in progress) in Procurement, Law, Evaluation, or another relevant profession. Knowledge and understanding of procurement processes, including ethical principles; pre-qualification of bidders; invitation to tender; comparative evaluation of contractors; and contract award, claims management, administration, amendments, and contract closure.
  • Previous practical experience in the preparation, negotiation, and administration of contracts for complex projects, preferably in the offshore oil industry.
  • General knowledge and understanding of technologies used by oil and gas operators and packages such as SURF, Topsides, and FPSOs in general.
  • Demonstrable professional knowledge and understanding of commercial, legal, and insurance issues affecting the company in general, and an "in-depth" understanding when relevant to contracts for works, goods, and services.
  • Demonstrable experience in drafting and administering EPC, EPIC, and EPSCC contracts. Good knowledge and understanding of different contractor remuneration schemes and their commercial implications, practical experience in their use, and a solid ability to select and draft appropriate provisions.
  • General knowledge and understanding of the company's commercial functions, with an "in-depth" understanding of the Contracts function and how it adds value, and a commitment to delivering added value.
